Terms of service
1. Scope
These terms apply to quotes and services provided by Voixa Consultors S.L., trading as BCA Portugal («we»), and to the use of bcaun.pt. A signed engagement letter always prevails over these terms where they differ.
2. Quotes
A quote is based on the information you give us and is valid for 30 days. It states our fee separately from official fees and third-party costs (registry and notary fees, translations, apostilles, courier), which we pass on at cost without mark-up. If the facts turn out to be materially different, we will tell you before doing work outside the quote.
3. Engagement and identification
Work starts once the engagement letter is signed, the identification and source-of-funds checks required by anti-money-laundering law are complete, and any advance is received. We may decline or end an engagement where those checks cannot be completed.
4. Your responsibilities
You undertake to give us complete and truthful information and documents on time, to tell us promptly of changes, and to review drafts we send for your approval. Deadlines set by authorities depend on that cooperation.
5. What we do not control
Registries, tax authorities, AIMA, banks and other third parties decide independently. We prepare the file to maximise the chance of a favourable outcome but cannot guarantee an account opening, a permit, a ruling or a processing time.
6. Fees and payment
Fees are payable as set out in the engagement letter, plus VAT where applicable. Recurring services (accounting, payroll, tax representation) are invoiced monthly or quarterly in advance and can be ended with the notice period in the engagement letter.
7. Confidentiality
We keep your information confidential and disclose it only where you agree, where needed to deliver the service, or where the law requires it.
8. Liability
We are liable for loss caused by our negligence in performing the engagement. Except for wilful misconduct, gross negligence or where the law does not allow a limit, our liability per engagement is limited to the fees paid for it in the preceding twelve months. We are not liable for loss caused by incomplete or incorrect information provided to us, or by decisions of third parties.
9. Use of the website
The website content is general information, not advice; see the legal notice.
10. Consumers
Where you act as a consumer, you keep all rights that mandatory consumer law gives you, including, for contracts concluded at a distance, the right to withdraw within 14 days unless you asked us to start work earlier and the service has been fully performed.
11. Governing law
These terms are governed by Spanish law. For business clients the courts of Barcelona have jurisdiction; consumers may also bring proceedings in their country of residence.
